These Terms of Service (“Agreement”) set forth the general terms and conditions of your use of the foothillsscreenings.com website (“Website” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and Foothills Heart & Vascular Screenings (“Foothills”), and its affiliates (“Foothills”, “Operator”, “we”, “us” or “our”). If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you may not access and use the Website and Services. By accessing and using the Website and Services you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

Information provided to you through the Website, or by your access to or use of Foothills products or services, should not be regarded as medical or health care advice or treatment. Always seek the advice of your physician or other qualified health care provider with any questions you may have regarding interpretation of your test results, or any other medical condition or health related issue you may have. In the case of a health emergency, seek immediate assistance from emergency personnel. Never delay obtaining medical advice or disregard medical advice because of information you accessed on or through or by way of this Website.

Foothills expressly disclaims all warranties and responsibilities of any kind, whether express or implied, for the accuracy or reliability of the content of any information contained in this Website. While we have made a concerted effort to provide you with the best possible information, this website is not a substitute for a visit with your healthcare professional, and any reliance upon or use of this information by you is at your own independent discretion and risk.

Accounts & Membership

You must be at least 18 years of age to use the Website. By using the Website and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age. If you create an account on the Website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts of omissions by you, including any damages of any kind incurred as a result of such actor or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and internet protocol address to prevent further registration.

Screening Services

Because no screening test can screen for every possible cause of stroke or heart disease, it is possible to have a normal screen with Foothills and still suffer from a heart attack or stroke. Specifically, we do not screen the coronary arteries (the arteries surrounding the heart). If you are experiencing symptoms of a heart attack or stroke, SEEK MEDICAL ATTENTION IMMEDIATELY and DIAL 911. Do not delay, regardless of your results with Foothills’.

Our screenings do not detect all forms of stroke and do not result in medical diagnosis or replace regular contact and follow-up with your physician.

Insurance

Foothills does not participate in the Medicare program and the cost of our screening services is not covered or reimbursable by Medicare. Foothills does not file insurance claims nor provide referrals to any physician’s group or hospital.

Cancellation Policy

If you are unable to attend the screening for any reason, we will issue a gift card for the full amount to be used by you, or anyone you choose, for future screening services.

Registration & Passwords

Our Website may permit or require you to register or obtain a password prior to permitting you to access certain portions of our online Services. Foothills utilizes a secure and HIPAA compliant web-based clinic management platform, (“Jane”), to collect and store your personal health information- (“PHI”), including and not limited to, your contact information, billing details and patient records. You acknowledge and agree that you are responsible for maintaining the confidentiality of your login ID and password, and for all uses of your login ID, password, and/or Account. You agree to notify us immediately of any unauthorized use of your login ID, password, or Account, or any other breach of security involving access to our Website or Services through your Account. You acknowledge that you may be held liable for any loss or harm incurred by us or any other person or entity due to someone else using your login ID password, or Account in the event you fail to keep your Account information secure and confidential.

Communications

By using or purchasing Foothills’ services or products, or when you create an account, if you provide your contact information, you agree to receive information from us related to your Foothills appointments, products, or services. You may also choose to receive information or marketing content from Foothills related to our business or potential opportunities related to your health and well-being, including clinical trial opportunities that may be of interest to you. To unsubscribe from marketing emails, click the “Unsubscribe” link at the bottom of the email you received from us. Note that obtaining services or products from Foothills is never contingent upon you agreeing to receive marketing communications from us. Even if you unsubscribe from marketing communications, we may still send communications related directly to products or services you receive from Foothills, such as appointment reminders, results, prep instructions, or other information pertaining directly to your product or service. Foothills reserves the right to block communication to or from you to protect our systems and patient data or if we believe there has been a breach of or attempted breach of this Agreement.

Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Foothills, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website.

The Foothills name and all related names, logos, product and service names, designs, and slogans are trademarks of Foothills or its affiliates or licensors. You must not use such marks without the prior written permission of Foothills. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

To the fullest extent permitted by applicable law, in no event will Foothills’ , its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, loss of data, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of Foothills’ and its affiliates, officers, employees, agents, suppliers, and licensors relating to the services will be limited to an amount no greater than one dollar or any amounts actually paid in cash by you to Foothills for the prior one-month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.

Indemnification

You agree to defend, indemnify, and hold harmless Foothills, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to any use of the Website’s content, services, and products other than as expressly authorized in these Terms of Use.

Governing Law & Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Washington or any other jurisdiction).

The parties further agree to replace such invalid or unenforceable provision of the Agreement with a valid and enforceable provision that will achieve, to the extent possible, the economic, business, and other purposes of such invalid or unenforceable provision.

Changes & Amendments

We reserve the right to modify this Agreement, or its terms related to the Website and Services at any time at our discretion. When we do, we will revise the updated date at the bottom of this page. We may also provide the notice to you in other ways at our discretion, such as through the contact information you have provided.

An updated version of this Agreement will be effective immediately upon the posting of the revised Agreement unless otherwise specified. Your continued use of the Website and Services after the effective date of the revised Agreement (or such other act specified at that time) will constitute your consent to those changes.
